1.Eligibility & Acceptance

You must be at least 18 years old, or the age of legal majority where you live, and able to enter a binding contract. If you participate for a business or organization, you confirm that you have authority to bind it. If you do not agree to these Terms, do not use the website or participate in the Waitlist.

2.The Axis Waitlist

Joining the Waitlist expresses interest in Axis and does not guarantee admission, a launch date, access to any feature, pricing, or a particular position. We may verify, adjust, suspend, or remove entries to protect the integrity of the Waitlist. Information about launch timing and availability is an estimate and may change.

3.Accounts & Accurate Information

You agree to provide complete and accurate information and keep it current. You are responsible for activity associated with your email, phone number, referral link, and account credentials. Tell us promptly at help@axismarketing.ai if you suspect unauthorized access.

4.Referral Program

Referral positions and benefits are earned only through genuine, eligible participants using your unique link. You may not create fake or duplicate accounts, use bots or automated sign-ups, purchase referrals, misrepresent Axis, send unlawful spam, or otherwise manipulate the program. We may investigate referrals, reverse benefits, adjust positions, or remove participants where activity appears fraudulent, abusive, or inconsistent with these Terms.

5.Optional Contributions

Any contribution is voluntary and is not required to join the Waitlist. Payments are processed by Stripe. Unless required by law or stated otherwise at checkout, contributions are final once processed. The selected charity receives 75% of each contribution, with 25% supporting the Axis launch and associated costs. Contributions are not purchases of equity, securities, ownership, voting rights, guaranteed access, or guaranteed financial returns. Tax deductibility depends on your circumstances; consult your tax adviser.

6.Appetite, Benefits & Promotions

Appetite, rankings, badges, early-access opportunities, and other promotional benefits are limited, revocable program features. They have no cash value, cannot be sold or transferred, and may be changed or discontinued where reasonably necessary. Eligibility may depend on verified referrals, contribution status, availability, and compliance with these Terms.

7.Acceptable Use

You may not:

• violate any law, regulation, third-party right, or these Terms;
• interfere with the security, availability, or operation of the website;
• introduce malicious code, scrape restricted data, or probe vulnerabilities;
• impersonate another person or falsely suggest an affiliation with Axis;
• use Axis branding or materials without permission; or
• use the website to distribute deceptive, harmful, or unsolicited communications.

8.Intellectual Property

The website, Axis name and marks, designs, text, graphics, software, and other materials are owned by Axis or its licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable right to access the website for its intended purpose. No ownership rights are transferred to you.

9.Third-Party Services & Links

The website may use or link to third-party services, including Stripe, Brevo, charities, hosting providers, and social platforms. Their services are governed by their own terms and privacy policies. Axis does not control and is not responsible for third-party content, availability, security, or practices.

10.Communications

You agree to receive service communications needed to administer your participation. Marketing email, SMS, and WhatsApp communications are governed by the choices and consent described in our Privacy Policy. Consent to marketing messages is not a condition of joining or contributing. You may unsubscribe from email or reply STOP to eligible text messages.

11.Disclaimers

To the maximum extent permitted by law, the website, Waitlist, and related materials are provided “as is” and “as available.” Axis does not warrant uninterrupted or error-free operation, a particular Waitlist outcome, launch date, business result, feature, or benefit. Information on the website is general information and is not legal, tax, financial, or professional advice.

12.Limitation of Liability

To the maximum extent permitted by law, Axis and its officers, directors, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or opportunity arising from your use of or inability to use the website or program. Axis’s aggregate liability will not exceed the greater of the amount you paid directly to Axis during the preceding twelve months or US $100. Some jurisdictions do not permit certain limitations, so they may not apply to you.

13.Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Axis and its officers, directors, employees, and agents from claims, damages, losses, and reasonable costs arising from your violation of these Terms, misuse of the website, infringement of another person’s rights, or unlawful referral activity.

14.Suspension & Termination

You may stop participating at any time. We may suspend or terminate access, remove a Waitlist entry, or revoke program benefits if you violate these Terms, create risk or legal exposure, or misuse the website or referral program. Provisions that by their nature should survive termination will remain in effect.

15.Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Before filing a formal claim, you agree to contact us and attempt in good faith to resolve the dispute informally. Unless applicable consumer law requires otherwise, courts located in Delaware will have exclusive jurisdiction.

16.Changes to These Terms

We may update these Terms as the program or law changes. We will revise the “Last updated” date and provide additional notice where required. Continuing to participate after updated Terms take effect means you accept them.

17.General Terms

These Terms and the Privacy Policy are the entire agreement regarding the website and Waitlist. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Axis may assign them as part of a reorganization, financing, merger, or sale.
